
Adam Rattner is Of Counsel to Jordon Voytek. Adam focuses his practice on mergers and acquisitions, regulatory due diligence, commercial transactions, corporate compliance, and outside general counsel services. He advises founders, investors, boards, executives, and operating companies in regulated and technology-enabled industries, with particular depth in health care.
Adam represents clients in buy-side and sell-side acquisitions, joint ventures and strategic partnerships. He conducts legal and regulatory due diligence to evaluate licensing and change-of-control requirements, corporate governance, material contracts, privacy and data-security obligations, government program participation, reimbursement exposure, pending investigations, employment arrangements, and required third-party consents.
Adam works closely with clients and their financial and transactional advisors to translate diligence findings into practical deal solutions. His approach is designed to identify and appropriately allocate risk while preserving deal momentum and protecting the value of the transaction.
In highly regulated transactions, Adam helps clients determine not only whether a legal or compliance risk exists, but also whether that risk can be quantified, corrected, insured against, or contractually allocated. He performs regulatory reviews of new products, services, markets, business models, and commercial relationships.
Beyond transactions, Adam serves as outside general counsel to growing businesses. He structures and negotiates customer and vendor contracts, technology and SaaS agreements, data-use and privacy agreements, management services agreements, employment and independent contractor arrangements, strategic partnership agreements, and other commercial contracts. Adam also helps clients establish governance and compliance programs, respond to audits and investigations, evaluate potential violations, and guide leadership teams through expansion, operational change, and enterprise risk decisions.
Adam brings more than fifteen years of experience as both an in-house attorney and compliance executive. He has served in senior legal and compliance roles for multi-state businesses, medical practices, digital health companies, and value-based care organizations. In those roles, Adam has advised boards and executive teams, designed and led legal strategy, defended against significant regulatory matters, and worked alongside finance, operations, technology, and business-development leaders.
This in-house experience gives Adam a practical understanding of how legal recommendations affect a company’s operations, finances, employees, customers, and growth strategy. Whether evaluating an acquisition target, resolving a diligence issue, negotiating a complex agreement, or assessing an unsettled regulatory question, Adam is known for translating complexity into clear decision points and business-minded solutions that clients can implement.
Adam earned his B.A. in Sociology from Union College and his J.D. from Quinnipiac University School of Law.
In addition to his legal work, Adam is active in the nonprofit community. He serves on the boards of I Was Supposed to Have a Baby and the Lower East Side Jewish Conservancy.
Adam grew up in Riverdale, New York, and lives in Stamford, Connecticut, with his wife, Esther, and their children, Lincoln and Sophie. In his spare time, he enjoys following the New York Knicks, playing racket sports and golf , collecting sports cards, and spending time with family and friends.
