Melvin James Ferebee III, Esq. serves as Of Counsel to Jordon Voytek.

Melvin focuses his practice on complex securities offerings, including Regulation D private placements, particularly in the multifamily, industrial, hospitality, and entertainment sectors, as well as Regulation S, Regulation CF, and Regulation A offerings. He regularly advises clients on venture capital transactions, fund creation and structuring, mergers and acquisitions, commercial real estate transactions, and the formation, reorganization, and dissolution of business entities. In addition, Melvin maintains a focused entertainment law practice, counseling clients across film, television, streaming, and literary projects. He advises on film finance and structuring, entertainment-sector mergers and acquisitions, and a wide range of industry-specific transactions. Melvin also serves as fractional general counsel for select clients, embedding himself into their operations and decision-making processes. He strives to understand each client beyond their immediate legal need, working to become a valued team member rather than simply outside counsel. In every transaction, Melvin prioritizes mitigating downside risk, structuring deals by assuming worst-case scenarios, and reverse engineering solutions to create properly risk-adjusted outcomes.

A native of Virginia, Melvin attended the College of William and Mary, where he earned his Bachelor of Arts in Government and played collegiate football. After graduation, he spent several years in the hospitality industry before earning his Juris Doctor from The University of Texas School of Law. While at Texas Law, Melvin participated in the Entrepreneurship and Community Development Clinic, where he amassed nearly 300 transactional hours representing small businesses. He also gained experience working for a local entertainment lawyer and later for a full-service hospitality law firm in its corporate and securities section. After law school, Melvin built the transactional practice of a Houston-based law firm before founding his own boutique transactional practice, The Ferebee Group PLLC in April 2018.
